SETIT Confidentiality and Non-Circumvention Agreement

Protected information Nonpublic homeowner and contractor contact details, project scope, attachments, price, records and introductions obtained through SETIT may be used only as required for the identified project and lawful related purposes. Public, independently developed or lawfully independently obtained information is not protected by this clause.

Permitted use and direct construction payments Project information must not be sold, shared for unrelated solicitation or disclosed without authorization. Homeowner construction payments made directly to the contractor are the normal SETIT payment model and do not themselves constitute circumvention.

Materially similar arrangements Neither party may use a protected SETIT introduction to arrange a materially similar transaction for the purpose of avoiding an otherwise earned and legally collectible SETIT fee. An arrangement need not be identical in price, work, timing or method of payment to be materially similar.

Earning, reporting and settlement The fee becomes earned only after contractor and homeowner sign the same final construction agreement and the contractor successfully receives initial construction funding. The total fee is one included 10%; homeowner's prior 1% posting payment is credited; SETIT invoices the contractor for the remaining 9%. Outside payments used to avoid an earned fee must be reported, and the unpaid earned fee satisfied, within five business days. No fee is due merely because a contact or project exists without the fee-earning conditions.

Remedies, duration and limitation There is no fixed one-year or indefinite ban on contacting a customer. Confidentiality duties and lawfully accrued obligations continue to the extent permitted by law. SETIT may terminate contractor participation as its principal participation remedy. The liability cap and no-attorney-fee provision in the Platform Terms also govern claims under this agreement, to the extent enforceable. No duplicate SETIT fee or automatic penalty arises from this clause.
